These Terms of Service (“Terms”) govern your access to and use of the services provided under the Fionetix Solutions brand. Your contracting and billing party is Global Automation Services Ltd(“we”, “us”, “our”), registered in England & Wales, United Kingdom (Company No. [UK Company No. — confirm]). Services are delivered by our operations team at Fionetix Solutions (Bangladesh). By engaging our services or using our website, you agree to these Terms.

1. Services

We provide software engineering, AI development, and infrastructure services on a subscription or custom-quote basis, as described on our website and in any order or statement of work agreed between us. The specific scope, deliverables, and turnaround depend on your chosen plan.

2. Subscriptions, requests & billing

• Subscription plans are billed monthly in advance by Global Automation Services Ltdthrough our payment processor, Stripe. Your card statement will show “[Card statement descriptor — confirm, e.g. GAS LTD* FIONETIX]”.
• A “request” is one well-scoped task. We work one or two active requests at a time depending on your plan, and move to the next request in your queue once the current one is delivered.
• You may pause or cancel your subscription at any time. Cancellation and refund terms are set out in our Refund Policy.
• Prices are exclusive of any applicable taxes, which will be added where required by law.

3. Client responsibilities

To deliver effectively, we rely on you to provide timely access, information, approvals, and any third-party credentials reasonably required. Delays in providing these may affect delivery timelines.

4. Intellectual property

Upon full payment for the relevant work, you own 100% of the intellectual property, repositories, and source code we create specifically for you. We retain rights to our pre-existing tools, libraries, and general know-how, and may use anonymised learnings to improve our services.

5. Confidentiality

Each party agrees to keep the other’s non-public information confidential and to use it only to perform under these Terms.

6. Acceptable use

You agree not to use our services for any unlawful purpose, or to request work that infringes the rights of others or violates applicable law.

7. Warranties & disclaimers

We provide our services with reasonable skill and care. Except as expressly stated, services are provided “as is” and we disclaim all other warranties to the fullest extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law, including the statutory rights of consumers.

8. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the services shall not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect or consequential losses.

9. Term & termination

These Terms apply for as long as you use our services. Either party may terminate a subscription in accordance with the Refund Policy. We may suspend or terminate services for material breach of these Terms.

10. Governing law

These Terms are governed by the laws of England & Wales, United Kingdom, and the courts of England and Wales shall have jurisdiction, without affecting any mandatory consumer-protection rights you may have in your country of residence.
